Florida's online filing is usually processed within a few business days, though it varies with the Division of Corporations' queue. The EIN is the part that can stretch: if you have a Social Security Number it is typically same-day online, and if you do not, the SS-4 has to go by fax or mail and takes considerably longer. We tell you the realistic timeline for your situation up front rather than quoting a best case.
For most small Florida businesses an LLC is the right default: simpler to maintain, flexible on how it is taxed, and it can elect S-corp treatment later if profits justify it. A corporation makes more sense when you plan to raise outside investment or issue stock options. The wrong reason to choose a corporation is because it sounds more serious. A Florida registered agent must have a physical street address in the state and be available there during business hours to accept service of process — a P.O. box does not qualify. Registered agent is a service we offer; ask us during your consultation and we will confirm current availability for your entity.
Yes, and it is not merely good practice. Running personal and business money through one account undermines the liability protection you formed the entity to get — it is the single most common reason a court disregards an LLC. We set the account up as part of formation.
Beneficial Ownership Information reporting is a federal filing with FinCEN identifying who ultimately owns or controls a company. The rules changed materially in 2025: the requirement was narrowed so that it applies to foreign reporting companies rather than to domestic companies and U.S. persons. Whether it applies to you depends on how your entity was formed and who owns it — we will tell you plainly whether you have an obligation rather than selling you a filing you do not need.
